On August 1st 2023 Compact Bidco B.V., a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands (the “Company” and together with its subsidiaries, the “Consolis Group”) entered, through its Danish subsidiary Spæncom A/S (Consolis Group subsidiary in Denmark), into a sale and leaseback transaction regarding two of its factories in Denmark. The agreed value for the two properties is € 16.5 million and with an initial duration for the lease of 25 years. Signing and completion of the transaction occurred on August 1st, 2023. The transaction will add € 12 million of liquidity to Consolis Group after reimbursement of existing loans. The agreement ensures that Consolis Danish operations can continue to run their existing business in the long term. The annual rent for these facilities will be at € 1.5 million and paid quarterly in advance.
