Consolis announces the divestment of a majority stake in Swedish business Strängbetong

• Consolis, a European leader in low-carbon precast concrete solutions for the data centers, defense, infrastructure, industrial and residential sectors, announces the divestment of a majority stake in its Swedish business, Strängbetong, to CarlGustav Group AB.

• The combination of CarlGustav Group AB and Strängbetong will create a leading multi-discipline precast company in the Swedish construction market, which will enhance delivery for its broad customer base.

• CarlGustav Group looks forward to integrating Strängbetong’s high-quality business and strong asset base, and in particular its management team and employees who have delivered on a very strong turnaround plan for the business in recent years.

• Consolis will retain a minority shareholding to ensure a successful integration, with the combined company capitalizing on continued growth across critical demand sectors and the general recovery in the Swedish construction market.

• Consolis had been approached by CarlGustav Group regarding a potential transaction and entered into bilateral discussions which were focused on the highest value outcomes for Strängbetong and for Consolis’ shareholders. Evercore is acting as financial adviser for Consolis on all M&A aspects of the transaction.

• Consolis is proud of its association with Strängbetong over many years and wishes to thank all current and former employees at Strängbetong for their hard work, dedication and commitment throughout.

• Consolis continues to explore value creation opportunities in its other businesses and markets, which are benefiting from structural growth trends in demand of low carbon solutions manufactured locally, across data centers, defense, infrastructure, industrial and residential.

• The transaction is subject to customary regulatory approvals and is expected to be completed during 2026.
